Summary:

Corporate Development teams develop/create and act on strategies to ensure companies can remain competitive in their markets and expand into new markets. The VP plays a key role in developing and driving strategic growth initiatives. The incumbent ensures the company maximizes synergies to generate lasting growth through activities include sourcing, negotiating, structuring, and executing strategic acquisitions.


Essential Responsibilities/Accountabilities:

  • Generates strategies that allow the company to enter new markets and new partnerships. Research, study, and analyze markets in order to make strategic recommendations to drive significant growth through acquisitions and strategic partnerships as well as to maintain the enterprise’s leadership position in the industry. Provides leadership and analytical support in evaluating and executing new investment opportunities, partnerships/alliances, acquisitions, mergers, spin-offs, and joint ventures.
  • Works closely with executive management and proactively identifies potential new business opportunities and new sources of revenue. Leverages resources and relationships across the enterprise to focus business leaders on strategic investments of greatest importance. Builds strategy and pipeline for acquisitions and investments working with business units.
  • Identifies and pursues industry relationships, engages with potential clients. Cultivates a pipeline. Builds relationships with entrepreneurs, investors, other Blue’s Plans, and executives to stay informed of early and growth companies (i.e., Blue Venture Fund). Provides thought leadership and nurtures long-term partnerships with businesses to develop acquisition strategies that is aligned with the Lifetime Health Care Companies’ overall corporate growth strategy.
  • Identifies, investigates, and develops relationships with target companies. Assist executive leadership in establishing target screening criteria.
  • Independently drives all aspects of deal execution. Conducts mergers and acquisition-related activities (negotiation, due diligence, and integration). Oversees financial modeling and analysis activities. Drives internal processes to ensure speed of execution.
  • Drives engagement across internal and external stakeholders and project teams and encourage collaboration and commitment to the achievement and delivery of project goals.
  • Supports acquisitions through origination, negotiation, due diligence, implementation planning, and closing activities.
  • Coordinates and implements new business opportunity due diligence with business divisions and functional groups.
  • Responsible for detailed understanding of technical fundamentals of each potential M&A transaction, with particular focus on risks and opportunities that may come with an acquisition.
  • Consistently demonstrates high standards of integrity by supporting the Lifetime Healthcare Companies’ mission and values, adhering to the Corporate Code of Conduct, and leading to the Lifetime Way values and beliefs.
  • Maintains high regard for member privacy in accordance with the corporate privacy policies and procedures.
  • Maintains knowledge of all relevant legislative and regulatory mandates and ensures that all activities are compliant with these requirements.
  • Conducts periodic staff meetings to include timely distribution and education related to departmental and Ethics/Compliance information.
  • Regular and reliable attendance is expected and required.
  • Performs other duties and functions as assigned by management.

Minimum Qualifications:

  • Ten or more years of transaction experience in Corporate Development or M&A leading deals.
  • MBA or equivalent graduate degree.
  • Investment banking experience preferred.
  • Experience preparing complex financial models and valuation analysis for mergers and acquisitions or similar strategic initiatives.
  • Exceptional interpersonal and relationship building skills to build strong relationships with internal and external stakeholders.
  • Strong analytical, technical, and project management skills.
  • Demonstrated experience in influencing and making high quality decisions and taking decisive action.
  • Demonstrated ability to work effectively within teams in a wide variety of departments, functions, and levels of management in a highly diverse, cross functional environment.
  • Extensive organizational skills.

Physical Requirements:

  • Ability to work prolonged periods sitting and/or standing at a workstation and working on a computer.
  • Ability to travel across the Health Plan service region for meetings and/or trainings as needed.
